TISE is able to assist you – and your clients – with obtaining a Legal Entity Identifier (LEI).

An LEI is a unique 20-character alphanumeric identification code designed for regulators to globally identify all legal entities that are engaging in financial transactions.

Previously some entities were required to have an LEI but that scope widened significantly from 3 January 2018. With the exception of some transitional provisions which will be in place for six months from that date, now all entities within the EU, including the UK, which are subject to the Market in Financial Instruments Directive II (MiFID II) and its associated regulations – or non-EU entities wishing to transact with such entities – must have an LEI. “No LEI, No Trade.”

We are able to act as an easily accessible conduit through which our Members AND also non-Members are able to obtain LEIs either for their own entities or those of their clients.

There is no requirement for a pre-existing relationship with us to be able to take advantage of our administrative service for obtaining, renewing and maintaining LEIs. Please read these terms and conditions and the Privacy Statement carefully. These terms and conditions are legally binding and will apply to you if you use our LEI Service.

1.

Introduction

1.1 The International Stock Exchange Authority Limited (“TISEA”) is providing a service to you (the “LEI Service”) for obtaining one or more Legal Entity Identifier(s) (“LEI(s)”) with the London Stock Exchange (“LSE”) on your behalf. The LSE is endorsed by the Regulatory Oversight Committee as an authorised Local Operating Unit for the global allocation of LEIs. You may be required by the LSE to agree to their terms and conditions, in relation to your use of the LEI(s). Any terms agreed between you and the LSE will be a contract made between you and the LSE.
1.2 These terms and conditions and the Privacy Statement on our website govern your use of the LEI Service. Ticking the online tickbox referencing these terms and conditions shall be deemed acceptance by you of these terms and conditions in full.
1.3 To the extent that there is any inconsistency between these terms and conditions and any other TISEA terms and conditions to which you may be subject, these terms and conditions will prevail in respect of your use of the LEI Service.
1.4 All references to "these terms and conditions" are to these terms and conditions as amended from time to time.

2.

LEI Service

2.1 You acknowledge that:
(a) TISEA's performance of the LEI Service does not constitute a business relationship with you for any purpose including but not limited to for the purposes of any applicable Anti Money Laundering and Countering the Financing of Terrorism laws including the Handbook for Financial Services Businesses on Countering Financial Crime and Terrorist Financing issued by the Guernsey Financial Services Commission;
(b) neither the LEI Service nor any of the materials associated with it have been designed to meet your requirements or tailored to your particular needs or circumstances;
(c) the contents of the LEI Service or any of our communications associated with it do not constitute legal, financial, investment, tax or other professional advice;
(d) TISEA cannot guarantee provision of LEI(s) nor provide a guaranteed turnaround time for applications and TISEA reserves the right to refuse to process any application for LEI(s) or request for renewal or maintenance of LEI(s) at its sole discretion for whatever reason TISEA sees fit and without providing any explanation; and
(e) once your LEI(s) is obtained, it is your responsibility to ensure that your LEI(s) is properly maintained and renewed. TISEA will pass on any correspondence it receives from the LSE to the email address provided in the LEI Authorisation Form in relation to your LEI(s) but TISEA will not monitor or maintain your LEI(s) and will take no action in respect of renewal or maintenance of the same unless specifically instructed by you to do so in accordance with clause 3.6 below.>

3.

Operation of LEI Service

3.1 TISEA will send the following documents to you for your completion and return via email to LEI@tisegroup.com:
(a) LEI Authorisation Form – a form giving TISEA authorisation to submit an application for an LEI to the LSE on your behalf; and
(b) LEI Application Details Form – a form comprising the details needed for the LEI application to the LSE.
3.2 Upon receipt of the documents referred to in clause 3.1 above together with remittance of TISEA's fees under clause 4 below TISEA will send, in the form required by the LSE, the LEI Authorisation Form and LEI Application Details Form and for processing by the LSE or otherwise contact you with any queries prior to submitting your application;
3.3 TISEA will inform you once the result of your application is known and, if successful, provide you with details of your LEI(s);
3.4 TISEA is not responsible for reminding you of renewals of LEI(s) and will not monitor the same. You should diarise such renewals appropriately. TISEA will issue an annual invoice with respect to renewals. If settlement is not received at least 14 days prior to the renewal date, TISEA will not act itself to renew the LEI(s) on your behalf. Any instructions to TISEA to renew LEI(s) should be made in accordance with clause 3.6 below.
3.5 TISEA is not responsible for maintenance of LEI(s). It is your responsibility to notify the LSE of any changes. TISEA will submit information regarding changes in respect of your LEI(s) to the LSE only upon being instructed by you to do so in accordance with clause 3.6 below.
3.6 Any instructions to TISEA for renewal or maintenance must be sent via email to LEI@tisegroup.com and shall specify the LEI and if for renewal must specify the period for renewal and if for maintenance must specify the particular act of maintenance. Instructions must be received by TISEA at least 14 days before any associated renewal or maintenance deadline. TISEA will not be responsible in any way for the failure to meet such deadlines for any reason.
3.7 Any communications sent from TISEA to you in respect of the LEI Service will be by way of email to the address provided by you in the LEI Authorisation Form. You must inform TISEA immediately via email to LEI@tisegroup.com if you change your email address or are otherwise unable to access it.

4.

Billing & Fees

4.1 The applicable fees for the LEI Service are set out above on this page of our website.
4.2 Payment of the fees for obtaining LEI(s) is due prior to the submission to the LSE of the application to which it relates and is non-refundable in all circumstances.
4.3 Payment of the fees for renewal of LEI(s) is as against the relevant invoice which will be issued annually and payment is required prior to the processing of a renewal and is non-refundable in all circumstances. For the avoidance of doubt, in accordance with clause 3.4 above, such invoices issued to you do not serve in any way as a renewal reminder and should not be treated as such.

5.

Data Protection

5.1 YFor details of the personal data (including sensitive personal data) which TISEA collects (in hard copy and/or computer readable form) and how TISEA uses that personal data please read the Privacy Statement on our website. Personal data (including sensitive personal data) has the meaning set out in the Data Protection (Bailiwick of Guernsey) Law, 2001 as amended, restated or replaced from time to time.
5.2 If you provide TISEA with your or another's personal data you are consenting to or confirm you have consent from the data subject to consent to:
(a) its collection, holding, processing and use for obtaining and renewing the LEI(s) in accordance with these terms and conditions and the Privacy Statement;
(b) its transfer and disclosure in accordance with these terms and conditions and the Privacy Statement and, including in particular to other jurisdictions in which any member of the TISEA group and/or its service providers may operate, which consent will apply regardless of the country to which the data is to be transferred whether within or outside the European Economic Area; and
(c) its destruction once TISEA has no further use for it.
5.3 You are entitled to have personal data that you provide to us amended or destroyed and you may withdraw consent for its use at any time upon notification to TISEA at LEI@tisegroup.com.

6.

Liability

6.1 TISEA will not be held responsible in any way whatsoever and however so arising for a failure to obtain, renew or maintain an LEI or for the failure of a transaction resulting from any omission or defect with the LEI and you agree to indemnify and hold harmless TISEA against any claims in respect of the same from any client of yours for whom TISEA applies to obtain or obtains an LEI.
6.2 Nothing in these terms and conditions limits or excludes TISEA's liability arising from its deliberate misconduct, fraudulent misrepresentation, gross negligence or any other liability which applicable law does not permit to be limited or excluded.
6.3 Without prejudice to TISEA's other rights under these terms and conditions, TISEA will not be in breach of these terms and conditions or liable for any delay in performing, or any failure to perform, any service or any of its obligations under these terms and conditions if that delay or failure results from events, circumstances or causes beyond its reasonable control.
6.4 TISEA does not accept any responsibility in the event that any electronic messages sent by you do not reach TISEA or any electronic messages sent by TISEA do not reach you. TISEA will not be liable for any loss or damage you may suffer or incur as a result of any non-delivery of such electronic messages.

7.

Variation

  TISEA may change these terms and conditions from time to time. You will be bound by any revision of these terms and conditions as and when a copy of the revised terms and conditions are published on our website.

8.

Assignment

  TISEA may transfer, sub-contract, assign or otherwise deal with our rights and/or obligations under these terms and conditions without notifying you or obtaining your consent.

9.

Governing law

  These terms and conditions will be governed by and construed in accordance with the laws of Guernsey. Any dispute (including non-contractual disputes or claims) arising out of or in connection with these terms and conditions will be subject to the non-exclusive jurisdiction of the Guernsey courts.

10.

Severability

  If any provision of these terms and conditions is (for any reason) determined by any court or other competent authority to be unlawful, unenforceable and/or in some other way invalid, the unlawful, unenforceable or invalid provision will not affect the remainder of these terms and conditions and the remainder will continue in full force and effect.

11.

Termination

  TISEA can suspend the provision of the LEI Service to you or terminate our agreement with you regarding use of the LEI Service immediately and at any time without giving any notice, for any reason whatsoever. Clauses 3, 4, 5, 8 and 9 will survive termination of our agreement with you and will remain in full force and effect.

12.

Entire agreement

  These terms and conditions constitute the entire agreement between you and us in relation to your use of the LEI Service.
